This End User License Agreement (hereinafter ‘Agreement’) is a legal agreement between you and RP Digital Type Foundry c/o Radim Pesko Ltd., company number 8786886, Unit 3B Building One, Canonbury Yard, 190a New North Road, N1 7BJ London, United Kingdom, governing your use of the Font Software ordered online by you.

‘Font Software’ as used herein means software that generates typeface designs and/or typographic designs and ornaments, when used with the appropriate hard- and softwares.

‘Web Font Software’ is defined as Font Software that has been created, optimized, translated or otherwise modified for use by means of transmitting via the Internet for use in the viewing of text on a website. Web Font Software is located on our server.

‘Font Software’ and ‘Web Font Software’ are the exclusive property of Radim Peško, who owns all rights, title and interest in and to the Web Font Software, its structure, organization, code, and design of the Fonts embodied therein, the trademarks, trade names and service marks. The Web Font Software and designs embodied therein are protected under copyright and other intellectual property law. Radim Peško represents and warrants that the Font Software is; original, wholly-owned, and does not infringe the rights of any third party.

‘Your Website’ as used herein is a connected group of related web pages pursuant to your specification, where the typeface shall be displayed. Your Website forms an entity whose content is managed by you, and which is organized under a particular domain name, including sub-domains. Your Website can be viewed either over your local area network or over the Internet. For the avoidance of doubt, web pages on sub-domains whose content is managed by other persons are deemed to be not part of Your Website.

‘Font-view’ is each request to load and display single licensed Web Font Software. Font-views are automatically tracked by our Subscription service.

‘Subscription service’ is a monthly service provided by Radim Peško that allows you to use the licensed Web Font Software on Your Websites by the means of @font-face declarations. Subscription service tracks and retains only the following data, which are necessary for the operation of the service: total number of accesses to each of the licensed Web Font Software, operating system, version of the browser and domain name. Subscription service neither track nor retain IP addresses and any other data from Your Websites.

Radim Peško hereby grants you a non-exclusive and non-transferable license to use the Web Font Software under terms and conditions set forth below. This license grants you certain limited rights to use the Web Font software only. The Web Font Software is licensed, not sold. All other rights, title and interest in and to the Web Font Software, are expressly reserved to Radim Peško.

Under this license you are entitled to use the Web Font Software through the Subscription service for the purposes of display the typeface generated by the Web Font Software on Your Website. The number of Font-views is limited as agreed in your individual order. In case your website receives a lot of traffic over the course of several months, and will exceed the limit of 2.000 visitors (Font-views) per day dramatically, we will contact you and discuss suitable licensing solution (for example Self-hosting License).

This license is for the benefit of a single Subscription Service only. You are not permitted to redirect or re-serve the Web Font Software transmitted to you via the Subscription service.

Under this license you are entitled to use the Web Font Software as the end user for your customary personal or internal business purposes, which does not include any distribution whatsoever of the Font Software or any component thereof. You are not allowed to copy, distribute or make the Font Software available to third parties. The Font Software or documentation may not be sublicensed, sold, distributed, leased, rented, lent, or given away to another person or business. You further agree to exercise reasonable care to avoid unauthorized distribution of the Font Software (password protection, font subsetting etc.).

Modifications and Derivates
Except as may be otherwise expressly permitted herein or by a separate written agreement, you may not modify, adapt, translate, reverse engineer, decompile, disassemble, alter or otherwise copy the Font Software, the source code of the Web Font Software or the designs embodied therein.

Storage
You may not store or cache the Web Font Software, except as may temporarily occur during proper use. All rights not expressly identified and granted under this license are expressly reserved to Radim Peško.

Web Use Only
The use of the Web Font Software is restricted to the use in Your Website. This license does NOT permit you to install the Web Font Software on your own server or use it on a desktop, laptop, or workstation computer or for any use other than as expressly permitted herein.
If You wish to use the Web Font Software for such purposes, You must secure a separate Self-hosting, Desktop License or other Licenses.

No Embedding
You may not embed the Font Software in any documents (such as pdf documents), applications or devices other than your Websites. You may not use the Font Software for other services that are rendering the fonts, e. g. pre- press, plotting, exposing, etc.

The Web Font Software may be returned or exchanged only if defective and will be replaced only when accompanied by a valid sales receipt within thirty (30) days of purchase.

Radim Peško shall in no event be liable for any direct, indirect, consequential, or incidental damages, including damages from loss of business profits, business interruption, and loss of business information, arising out of the use or inability to use the Web Font Software. Radim Peško provides no guarantee that the fonts generated by the Web Font Software are suitable for your individual projects and purposes which are not expressly agreed in the accepted order.

Under no circumstances shall Radim Peško’s liability exceed the substitution or the replacement cost of the Web Font Software.

Usage of the Font Software in violation of this Agreement shall be considered as illegal.

Any breach of the terms of this Agreement shall cause this license to be automatically terminated. In the event of termination, and without limitation of any remedies, you must immediately return the Web Font Software to Radim Peško and certify that no copy remains in your possession or control.

If the Subscription service is terminated for whatever reason, you are not permitted to copy, store or archive the Web Font Software for any purposes whatsoever.

This agreement shall be in force and continue for a guaranteed period of 24 months; after expiry of such guaranteed period, Radim Peško shall have the right to terminate this Agreement for any reason in its sole discretion upon 90 days after issuing a written notice.

In the event of delay in payment of any of the license fees, Radim Peško is entitled to suspend the provision of the Subscription service. The Subscription service shall be restored after the outstanding fees are settled.

The fees associated with the Subscription service are subject to current price list of Radim Peško, who reserves the right to modify the price list unilaterally without further notice.

This License Agreement is subject to UK Law. All disputes related to this Agreement shall be be settled by the courts of the United Kingdom.

By downloading and/or installing the Web Font Software, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this License Agreement.
